These terms of use (“Terms and Conditions”) Website, and all of its divisions, subsidiaries, and affiliate operated Internet, which reference these Terms of Use. This Website is owned and operated by E-Fusion Company. Whose register office is located at 231 rue Pierre et Marie Curie, 31670, Toulouse - Labège, Francei) The following provisions of these Terms of Use ("Terms") require your careful reading. This legal agreement between E-Fusion Website. ("E-Fusion") and you ("you,""your," or "user") pertains to your usage of (a) the Software, including mobile Website and related documentation installed or used on any of your devices, and/or (b) any of the Services enabled by the Software.ii) Your acknowledgment of having read, comprehended, and consenting to be bound by these Terms of Use (including any supplementary directives and prospective modifications), E-Fusion's Privacy Policy, Copyright Policy, Community Guidelines, and Broadcaster Terms (if you are a Broadcaster) - each of which is incorporated herein by reference - is implied by your downloading or accessing the Software and/or Services through any means.iii) In the event that you disagree with any of the Terms of Use, you may not utilize the Software or Services and must cease all usage of the Software and Services without delay.  

B.    Definition Of Terms“Electric Vehicle (EV) Mobility”

EV mobility encompasses the entire ecosystem of electric vehicles, including cars, bikes, buses, and trucks, which rely on electric power for propulsion. This shift from traditional combustion engine vehicles to EVs represents a paradigm change in transportation, aiming to reduce carbon emissions, dependence on fossil fuels, and environmental pollution. “Toulouse” A vibrant city located in the Occitanie region of southwestern France, known for its aerospace industry, research institutions, and cultural heritage. Toulouse serves as the operational hub for e-Fusion, providing a strategic base for the company's activities and partnerships in the realm of electric mobility.

The transition to electric cars involves not only the adoption of electric vehicles by consumers but also the development of supporting infrastructure, policies, and technologies to facilitate widespread acceptance and usage. e-Fusion is dedicated to simplifying this transition by addressing barriers such as range anxiety, charging infrastructure availability, and consumer convenience.

“Charging Terminal”

A charging terminal, also known as an EV charging station or point, is a physical infrastructure equipped with charging equipment that supplies electric power to recharge EV batteries. These terminals can vary in terms of charging speed, connection type (e.g., AC or DC), power output, and payment methods accepted, providing flexibility and options for EV users.

“User-Friendly Application”

e-Fusion's user-friendly application serves as a digital platform for EV owners to access a range of services related to charging, navigation, and energy management. The application provides intuitive interfaces, real-time information on charging station availability and pricing, navigation assistance, and seamless payment processing, enhancing the overall user experience.

“The ONE Card”

"The ONE" card is a revolutionary innovation introduced by e-Fusion to simplify the EV charging experience. This single card acts as a universal access pass, granting users seamless access to a vast network of charging terminals across Europe. By eliminating the need for multiple accounts, cards, or payment methods, "The ONE" card streamlines the charging process and enhances user convenience.

“Nomadic Consumption”

Nomadic consumption refers to the dynamic and mobile nature of energy usage associated with activities such as EV charging at various locations. e-Fusion's approach to centralizing nomadic consumption involves integrating EV charging data with users' home electricity bills, providing a comprehensive overview of energy usage and facilitating better energy management decisions.

“Energy Management”

Energy management encompasses the strategies, technologies, and practices employed to monitor, control, and optimize energy usage for desired outcomes such as cost savings, efficiency improvements, and sustainability. e-Fusion's partnerships with leading energy suppliers enable seamless integration of EV charging with home energy management systems, promoting efficiency and sustainability.

e-Fusion prioritizes transparency and accessibility in its approach to providing EV charging services. Transparency involves providing clear and accurate information about charging station locations, pricing, and availability, empowering users to make informed decisions. Accessibility refers to ensuring that EV charging infrastructure is readily available and easily accessible to all users, regardless of location or socioeconomic status.

Sustainable transportation encompasses a holistic approach to transportation planning and management that prioritizes environmental, social, and economic sustainability. e-Fusion's efforts to promote electric mobility contribute to sustainable transportation goals by reducing greenhouse gas emissions, minimizing air pollution, and fostering energy independence and resilience in transportation systems.  

C.   Eligibility:

The Software and Services are intended for users who are 18 and above years of age or older, and any use or access by individuals under the Age of Consent is unauthorized and in violation of the Terms of Use. By accessing or using the Software or Services, you confirm that you are over the Age of Consent or over the legal age of majority in your jurisdiction of residence, that you have the legal power to enter into a binding agreement with E-Fusion, and that the use of the Software and Services is permitted by law in your jurisdiction. If E-Fusion has reason to believe that you are under the age of majority or that the Software or Services are prohibited in your jurisdiction, your account may be terminated, and any content or information you have submitted may be deleted, and you may be prohibited from using the Software or Services.

The service encompasses a range of innovative features and offerings

“Charging Infrastructure Expansion and Management”

e-Fusion is committed to expanding and managing an extensive network of EV charging infrastructure across Europe. This network includes a variety of charging stations, ranging from standard AC chargers to fast DC chargers, strategically located in urban areas, along highways, and at key destinations. Each charging station is equipped with advanced technology for efficient charging and is regularly maintained to ensure reliability.

“User-Centric Application Interface”

The e-Fusion mobile application serves as the primary interface for users to access the service. It features an intuitive and user-friendly design, allowing users to easily search for nearby charging stations, view real-time availability and pricing information, and plan routes that include charging stops. "The ONE" card revolutionizes the EV charging experience by consolidating access to multiple charging networks into a single card. Upon sign-up, users receive "The ONE" card, which can be used to initiate charging sessions at any compatible charging station within the e-Fusion network. The card utilizes secure authentication protocols to ensure user privacy and data protection.

“Energy Consumption Monitoring and Optimization”

e-Fusion offers advanced energy management capabilities to help users monitor and optimize their EV charging consumption. Through the application, users can track their charging history, analyze consumption patterns, and set preferences for charging schedules and energy sources. Additionally, e-Fusion integrates with smart home energy systems, allowing users to synchronize EV charging with off-peak electricity rates and renewable energy generation.

“Transparent Pricing and Payment”

E.    Acceptance of Terms:

You understand that by using this Web, you are agreeing to be bound by these Terms, including any and all of your warranties and representations contained herein. If you do not accept these Terms in their entirety, you may not access or use the Web. If you agree to these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that event, "you" and "your" will refer and apply to that entity.

F.    Modification Of Terms

We may amend these Terms at any time by posting revised Terms on the Website and/or sending you Notice of the same to the email address associated with your Account, as defined herein. Each revised version will state its effective date, which will be on or after the date in which it is posted or sent. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms. E-Fusion reserve the right at any time to: (i) modify or withdraw the Services (or any part of them) without notice to you and will not be liable to you for any such modification or withdrawal; and/or (ii) change these Conditions from time to time and your continued use of the Services (or any part of them) following such change will be deemed to be your acceptance of such change.  

G.   User Responsibilities i. Accuracy of Information:

You are solely responsible for the accuracy and reliability of the financial information you enter into the Website. We do not verify or validate the accuracy of any data you input.

ii. Security:

You are responsible for maintaining the confidentiality of your Google account credentials. Any activities that occur under your account will be your responsibility. In case of unauthorized access or suspected security breaches, please notify us immediately.

iii. Compliance:
You agree to use the Website in compliance with all Applicable laws, regulations, and third-party terms of service.

H.   Intellectual Property Rights i. Ownership:

The Website, including all its content, features, and functionality, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

ii. Limited License:
We grant you a limited, non-exclusive, non-transferable license to use the Website solely for your personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Website without our prior written consent.

I.     Limitations of Liability

We may terminate this Agreement and your access to the Website for any reason, without prior notice or liability.

K.   Entire Agreement
These Conditions and any document expressly referred to in them represent the entire agreement between you and E-Fusion  in relation to the subject matter of any contract and supersede any prior agreement, understanding or arrangement (whether oral or in writing).You acknowledge that, in entering into a contract, neither you or E-Fusion has relied on any representation, undertaking or promise given by the other or implied from anything said or written in negotiations between you and E-Fusion prior to such contract except as expressly stated in these terms and conditions.

L.    Third Party Rights
A person who is not a party to these Conditions shall have no right under the Contract (Rights of Third Parties) Act 1999 to enforce any term of these Conditions.  

M.  Governing Law, Jurisdiction and Venue
These Terms of Use shall be governed by the laws of the State of whole of France and European union (EU), without regard to its conflicts of law provisions. Any action or proceeding arising out of or related to these Terms of Use shall be exclusively venued in European Union Law (EU). By using our services, you irrevocably consent and submit to the personal jurisdiction of such courts for all such purposes. However, we reserve the right to initiate legal proceedings in any jurisdiction where we believe that a breach of these Terms of Use is occurring or originating.

N.   Third Party Links
Electronic links to the Services from any other Services are prohibited without our prior written consent. Please note that access to the content of any third party websites or resources may be subject to terms and conditions imposed by the owner of that content which you should review before interacting via such websites or providing such third parties with information about yourself. E-Fusion do not endorse or accept any responsibility for the content of any third party websites and/or educational resources.

O.   Transfer of Rights and Obligations
The contract between you and E-Fusion is binding on both parties’ respective successors and assigns. You may not transfer, assign, charge or otherwise dispose of a contract, or any of your rights or obligations arising under it, without our prior written consent. E-Fusion may transfer, assign, charge, sub-contract or otherwise dispose of a contract, or any of our rights or obligations arising under it, at any time during the term of the contract.

P.    Events Outside Our Control
E-Fusion not be liable or responsible for any failure to perform, or delay in performance of, any of their obligations under a contract that is caused by a Force Majeure Event (events outside our reasonable control). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond E-Fusion’s reasonable control and includes in particular (without limitation) the following:

(i) Strikes, lock-outs or other industrial action.
(ii) Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.
(iii) Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.
(iv) Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
(v) Impossibility of the use of public or private telecommunications networks.
(vi) The acts, decrees, legislation, regulations or restrictions of any government. E-Fusion’s performance under any contract is deemed to be suspended for the period that the Force Majeure Event continues, and it will have an extension of time for performance for the duration of that period. E-Fusion will use reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the contract may be performed despite the Force Majeure Event.

Q.   Waiver

If E-Fusion fail, at any time during the term of a contract, to insist upon strict performance of any of your obligations under the contract or any of these Conditions, or if E-Fusion fail to exercise any of the rights or remedies to which it is entitled under these Conditions, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations. A waiver by E-Fusion of any default shall not constitute a waiver of any subsequent default. No waiver by E-Fusion of any of these Conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.  

R.   Severability

If any of these Conditions or any provisions of a contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

S.    Miscellaneous

i. Entire Agreement

This Agreement constitutes the entire agreement between you and us regarding the Website and supersedes any prior agreements or understandings.

ii. Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be deemed modified to the extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

iii. Waiver
Our failure to enforce any right or provisions of this Agreement shall not be deemed a waiver of such right or provision.
